Metaplanet clears shareholder vote to merge with Super League for US Bitcoin treasury

Metaplanet clears shareholder vote to merge with Super League for US Bitcoin treasury

, , , , , , ,

Metaplanet has cleared a major regulatory hurdle toward establishing a US-listed Bitcoin treasury platform by merging with Nasdaq-listed Super League Enterprise. The shareholder vote removes uncertainty around a deal that would give the Japanese firm control of American capital markets access for Bitcoin accumulation and fundraising.

  • Super League shareholders approved issuing up to 435.9 million common shares to Metaplanet and Evo Fund on October 16 (Friday).
  • Metaplanet will contribute 2,100 BTC and $2.5 million cash for 44.86 million shares priced at $3 each, valued at roughly $170 million as of the vote date.
  • The transaction is expected to close in the fourth quarter of 2026, pending remaining Nasdaq filings and regulatory approvals.
  • 2,100 BTC Metaplanet’s Bitcoin contribution to the merger, unchanged despite value appreciation
  • 93.7% Estimated ownership stake Metaplanet will hold at deal closing
  • $170M Bitcoin contribution value on October 16, up from $132.1 million in August
  • $3.38B Potential capital from warrant exercises at initial strike prices

CryptoSlate reported that an October 19 SEC filing confirmed Super League shareholders approved all proposals at the October 16 annual meeting, clearing a critical condition for Metaplanet’s planned acquisition. The official filing showed the principal issuance proposal received 1.06 million votes in favor against 25,314 opposed. The deal will transform Super League into Superplanet, which will trade under ticker SUPA and function as Metaplanet’s US-listed Bitcoin treasury platform while maintaining the company’s existing Japanese operations.

Shareholders back 435.9 million share issuance for Metaplanet’s Bitcoin contribution

The vote approves the issuance of up to 435.9 million common shares under subscription agreements with both Metaplanet and investment firm Evo Fund, executed on August 18 (Tuesday). Under the Metaplanet agreement, the Japanese Bitcoin firm will contribute 2,100 BTC and $2.5 million in cash in exchange for 44.86 million newly issued common shares at $3 per share. The number of shares Metaplanet receives remains fixed despite Bitcoin’s price movement between August and October, meaning Metaplanet captures no additional shares as the value of its Bitcoin contribution rose from approximately $132.1 million to $170 million.

Dylan LeClair, Metaplanet’s Director of Bitcoin Strategy, estimated the company will own approximately 93.7 percent of Superplanet at deal closing based on Super League’s share count as of September 29.

Charter amendments expand Metaplanet’s control and fundraising toolkit

Shareholders also approved amendments to increase authorized preferred shares tenfold, from 10 million to 100 million. The preferred share expansion enables Superplanet to issue senior, non-convertible perpetual preferred securities to outside investors seeking income while directing capital toward Bitcoin accumulation. Unlike debt, perpetual preferred stock carries no fixed repayment date but creates recurring dividend obligations that must be funded through operating cash flow or subsequent fundraising.

Metaplanet will receive 100 shares of convertible Strategic Alliance Preferred Stock carrying special governance rights and approval authority over major corporate decisions including mergers, charter amendments and changes of control. The Japanese firm will designate five of Superplanet’s nine board members, securing control over capital-allocation strategy. The deal also grants Metaplanet ten-year warrants to acquire 381 million additional common shares through four tranches, beginning with 210 million shares at $3 each, followed by 100 million at $10, 50 million at $21, and 21 million at $33.50. Full exercise would generate approximately $3.38 billion in capital, though higher strike prices require substantial stock appreciation to make exercises economically attractive.

Metaplanet will separately retain a 24-month right to invest up to $210 million through Junior Liquidity Support Preferred Stock, which would rank behind senior preferred securities and carry dividends at three-month SOFR plus four percentage points. This structure allows Metaplanet to provide subordinated capital that could strengthen Superplanet’s balance sheet and help attract senior preferred investors.

Deal completion hinges on Nasdaq approval in fourth quarter

The transaction is expected to close in the fourth quarter of 2026, contingent on remaining requirements including Nasdaq-related filings. Metaplanet CEO Simon Gerovich said the expansion would advance the company’s ambition to become a global Bitcoin-native financial platform, with complementary operations in the US and Japan supporting international fundraising, capital allocation and Bitcoin-related financial products.

Super League’s existing advertising and media operations will continue under Chief Executive Officer Matt Edelman.

The structure introduces potential share dilution from warrant exercises, while senior preferred issuance would create additional dividend obligations Superplanet must service. The company separately disclosed that it purchased two BTC for approximately $162,890 on October 16 as it explores holding Bitcoin alongside cash reserves. No timeline or specific capital target for that independent Bitcoin accumulation strategy was disclosed.

The BlockWest read. Superplanet’s founding structure gives Metaplanet upside optionality through warrants while locking in founding shareholding through fixed-share issuance. The perpetual preferred framework depends entirely on investor appetite for yield subordinated to a volatile Bitcoin-backing asset. How deeply outside institutional capital will actually subscribe to senior perpetual preferred, and at what dividend cost to the balance sheet, will determine whether this financing model accelerates or constrains Bitcoin accumulation.

Nasdaq must approve the listing and related matters before closing. Metaplanet’s next critical step is filing any remaining Nasdaq documentation and navigating final approval, with the deal targeted for completion by the end of 2026.

MSCI finalizes rules to remove bitcoin-holding companies from global indexes

MSCI finalizes rules to remove bitcoin-holding companies from global indexes

, , , , , , ,

MSCI’s new index rules could strip bitcoin-holding companies like Strategy and Metaplanet of passive capital flows worth billions. For allocators tracking these stocks through index funds, forced selling would hit share prices without touching the underlying bitcoin treasuries these firms accumulate.

  • MSCI finalized rules that could remove Strategy, Metaplanet and other asset-heavy companies from global equity indexes effective November 30.
  • JPMorgan analysts estimate Strategy’s exclusion could trigger roughly $2.8 billion in stock outflows, though index funds would sell shares, not bitcoin.
  • Strategy holds 848,250 BTC worth approximately $69.67 billion, funding purchases via preferred share issuance; weaker equity demand could impair this funding channel.
  • $2.8B Estimated stock outflows from Strategy if excluded from MSCI indexes
  • 848,250 Bitcoin holdings by Strategy, the largest public bitcoin holder
  • Nov 30 Effective date when MSCI index changes take effect after trading closes
  • 72% Decline in Strategy’s share price from November 2024 peak to Thursday close

CoinDesk reported that MSCI, one of the world’s largest stock index providers, finalized rules on Thursday that could remove shares of Strategy and Metaplanet from its Global Investable Market Indexes. The new criteria, originally proposed in August, target companies whose assets consist mainly of investments rather than operations tied to an actual business. The definitive roster of affected firms will be announced on November 11, with the removal taking effect at the close of November 30.

Strategy and Metaplanet face removal under new investment-heavy company rules

Under MSCI’s framework, companies that operate primarily as investment vehicles become ineligible for inclusion. The rules force index funds that track MSCI benchmarks to sell holdings when a member company is removed. Unlike active managers who can choose whether to hold, these passive funds operate mechanically: when a stock is removed, they must sell, irrespective of their own assessment of the company’s prospects.

The policy carries specific weight for Strategy because it relies on selling preferred shares to fund bitcoin purchases, a strategy it has pursued for years to accumulate more coins.

Strategy, based in Tysons Corner, Virginia, is the largest publicly listed bitcoin holder with 848,250 BTC valued at approximately $69.67 billion according to Bitcoin Treasuries. The company’s shares closed at $151.29 on Thursday, down roughly 72 percent from a record high of $543 reached in November 2024. Tokyo-based Metaplanet, which closed at 277 yen ($1.75) on Friday, peaked at 1,930 yen in June 2025, according to TradingView.

Forced selling of shares would not affect bitcoin holdings but could impair future treasury purchases

JPMorgan analysts have estimated that Strategy’s exclusion from MSCI indexes could prompt approximately $2.8 billion in stock outflows. Critically, these flows would pressure the equity price without directly touching the bitcoin stored in company vaults. Index funds would dump the stock itself, not force Strategy to liquidate its cryptocurrency reserves.

Yet the indirect effect poses a real risk to Strategy’s strategy of accumulating additional bitcoin. A sustained decline in share price and equity demand could tighten the funding window that Strategy relies on to issue preferred shares and convert those proceeds into bitcoin purchases. Decentralized infrastructure network ZEROBASE stated on X that “passive capital has become an important source of demand for these stocks; any sustained reduction in that bid could tighten the equity-issuance window that several of them rely on to fund further purchases.”

The MSCI episode highlights a growing tension between traditional index construction and the rise of companies that treat Bitcoin as a core treasury asset rather than a secondary holding.

MSCI’s screening process flags three firms; bitcoin-heavy assets temporarily reclassified

MSCI applies two sequential tests to identify ineligible companies. First, it examines whether a company holds substantial operating assets tied to a real business. Those that fail proceed to a second evaluation based on five financial ratios measuring expenses, cash flow, asset value changes and dependence on external financing. A company flagged on four or more of the five ratios is deemed ineligible.

In a test run using May 2026 data, MSCI flagged three companies for possible removal: Strategy, Metaplanet and Yellow Cake, a British uranium investment vehicle.

The index operator is also discontinuing temporary measures it had imposed in October 2025 for companies with digital assets comprising 50 percent or more of total assets. Those measures had frozen increases in share counts used for index weighting and deferred additions or size-segment moves for such firms. From the November review onward, those companies will fall under the new screening rules rather than the temporary framework. Strategy founder Michael Saylor has asserted that the company operates a real business through its software segment and treats its bitcoin treasury as a distinct business line separate from its core operations, pushing back against characterizations that it functions as an investment fund.

The BlockWest read. For allocators, the risk is not that Strategy’s bitcoin disappears but that equity-based funding for future acquisitions dries up. Index exclusion is primarily a capital structure blow, not a credit event. If Strategy can sustain its treasury strategy through alternative financing or retained earnings, it survives. The test is whether passive outflows create enough pricing pressure to force a strategic pivot.

MSCI will announce the final list of companies flagged for removal on November 11, with changes taking effect at market close on November 30. Strategy’s ability to complete additional bitcoin purchases before that date, and the company’s contingency plans for equity financing if index removal narrows its funding channel, will define whether this becomes a temporary price dislocation or a structural constraint on treasury growth.

Metaplanet sold 10,000 bitcoin then repurchased 11,000 at higher prices

Metaplanet sold 10,000 bitcoin then repurchased 11,000 at higher prices

, , , , ,

Metaplanet, the Tokyo-listed bitcoin treasury company, closed the third quarter with 44,000 BTC on its balance sheet after a quarter marked by a large sale and an even larger repurchase at higher prices. The maneuver, combined with a newly disclosed plan to put capital into other treasury firms’ preferred securities, signals the company is trying to prove it can manage debt and diversify income beyond simply stacking coins.

  • Metaplanet sold 10,000 BTC for approximately $789.2 million before repurchasing 11,000 BTC for $948.7 million.
  • The company’s options-based Bitcoin Income Generation business posted $5.4 million in Q3 revenue, down 51% from the prior quarter.
  • Metaplanet shares closed 2% higher at 297 yen, or $1.88, following the disclosures on Monday, October 5.
  • 44,000 bitcoin held by Metaplanet, worth $3.8 billion as of Sept. 30
  • $78,925 average price Metaplanet received selling 10,000 BTC during the quarter
  • $86,246 average price it paid repurchasing 11,000 BTC afterward
  • $98,454 average cost basis across the company’s full bitcoin holdings

Metaplanet (ticker 3350) added a net 1,000 bitcoin during the third quarter, taking total holdings to 44,000 BTC, valued at roughly $3.8 billion as of Wednesday, September 30, according to reporting by CoinDesk. The net addition masked a far larger set of transactions: the company sold 10,000 BTC and then bought back 11,000 BTC at a higher average price within the same quarter.

Metaplanet sells 10,000 BTC, then buys back 11,000 at higher prices

Metaplanet sold 10,000 BTC for approximately $789.2 million, an average of $78,925 per coin, the company said on X. It held the proceeds temporarily in cash, a move it said was meant to demonstrate it could cover outstanding interest-bearing debt, though those obligations were not actually repaid.

It then repurchased 11,000 BTC for $948.7 million, averaging $86,246 per coin, according to a separate post. That is roughly $7,300 more per coin than it received on the earlier sale.

Across its full position, Metaplanet’s cost basis now stands at approximately $4.33 billion, or $98,454 per BTC, which exceeds the stack’s current market value of $3.8 billion. The gap reflects bitcoin trading below the company’s average entry price even as its total coin count has grown.

Net Interest Income Strategy targets 10% to 15% of assets in preferred securities

Metaplanet introduced a Net Interest Income Strategy that will invest principally in preferred securities issued by other bitcoin treasury companies, the firm announced. It plans to allocate approximately 10% to 15% of total assets to the strategy, seeking returns above its funding costs to help service obligations and fund further bitcoin purchases.

CEO Simon Gerovich framed the move as part of a wider ambition for the company beyond accumulating bitcoin on its balance sheet.

Our objective has been to build the leading Bitcoin financial company in Asia.

Simon Gerovich, CEO, Metaplanet

The strategy sits alongside Metaplanet’s existing options-based Bitcoin Income Generation business, which has now produced revenue for eight consecutive quarters. Nine-month revenue from that business reached approximately $35.2 million.

Options revenue falls 51% as outstanding debt remains unresolved

The Bitcoin Income Generation business reported approximately $5.4 million in Q3 revenue, down 51% from the second quarter and down 65% from a year earlier. The decline came even as Metaplanet’s overall bitcoin holdings and total disclosed revenue streams expanded.

Metaplanet shares closed 2% higher at 297 yen ($1.88) on Monday, October 5, after the disclosures. The company has not said when, or whether, it intends to repay the interest-bearing debt that the quarter’s cash maneuver was designed to show it could cover.

The BlockWest read. The sale-and-repurchase round trip cost Metaplanet roughly $7,300 per coin versus simply holding, a price allocators should weigh against the stated liquidity message. The new preferred-securities sleeve effectively makes Metaplanet a creditor to peer treasury firms, a cross-exposure that balance sheet analysts covering bitcoin treasury companies will need to start modeling explicitly.

Metaplanet has not disclosed a timeline for addressing the interest-bearing debt its cash maneuver was meant to demonstrate it could cover, leaving open whether repayment, refinancing, or further liquidity demonstrations come next quarter.

Metaplanet Executive Pay Plan Swells from 46 Million to 319 Million Shares as Bitcoin Surges

Metaplanet Executive Pay Plan Swells from 46 Million to 319 Million Shares as Bitcoin Surges

, , , , ,

Metaplanet’s aggressive Bitcoin acquisition strategy has inadvertently created a massive executive compensation windfall that threatens the company’s key per-share metrics and has ignited shareholder demands for reversal. The dispute highlights how equity issuance formulas designed before a strategic pivot can produce unintended consequences that pit management interests against broader shareholder value.

  • Metaplanet’s Series 10 executive options pool expanded from 46 million to 319.464 million shares due to an adjustment mechanism tied to capital raises for Bitcoin purchases.
  • CEO Simon Gerovich exercised 92,000 rights on August 28, 2026, receiving 64.032 million newly issued shares at a ¥10 exercise price while the market valued them at roughly ¥15.6 billion.
  • Shareholders are demanding cancellation of approximately 273 million potential shares added above the original pool size, arguing the mechanism amplified dilution during the company’s Bitcoin fundraising.
  • 43,000 BTC Metaplanet’s total Bitcoin treasury holdings as of June 30, 2026
  • 1.28B shares Issued shares outstanding by end of June 2026, up from 153.9 million
  • 2,635 satoshis Bitcoin per fully diluted share including current compensation pool dilution
  • 3,166 satoshis Bitcoin per share if 273 million excess options were cancelled

Metaplanet’s pivot to a Bitcoin treasury strategy under CEO Simon Gerovich beginning in April 2024 has created an unintended governance crisis that now threatens to overshadow the company’s digital asset accumulation. The Tokyo-listed firm’s repeated equity issuances to fund Bitcoin purchases activated an automatic expansion clause within its Series 10 stock acquisition rights, a compensation plan that shareholders had originally approved in early 2023 for 46 million shares. As the company’s issued share count exploded from roughly 153.9 million to 1.28 billion by late June 2026, the adjustment mechanism designed to maintain the executive pool at approximately 20% of fully diluted shares ballooned the compensation award to 319.464 million potential shares.

The expansion mechanism reflects a common corporate governance pattern in which antidilution provisions intended to protect employee compensation from ordinary capital activities can produce outsized effects during periods of rapid equity issuance. When a company’s share count multiplies due to strategic fundraising, a formula that preserves a fixed percentage of fully diluted shares can dramatically increase the absolute number of options outstanding, even when the original intent was to maintain reasonable incentive levels. Metaplanet’s case exemplifies this dynamic: the company eliminated the adjustment mechanism on August 18, 2026, acknowledging in internal notices that the formula “amplifies the dilution borne by existing shareholders” and risked creating misaligned incentives between capital-raising decisions and management compensation interests.

Gerovich’s Immediate Exercise Triggers Shareholder Backlash

The governance dispute intensified sharply when CEO Gerovich exercised a portion of his compensation just days after the August mechanism shutdown. On August 28, 2026, Gerovich converted 92,000 Series 10 rights into 64.032 million newly issued shares at the historical exercise price of ¥10 per share, a transaction that cost him approximately ¥640.3 million in total. The timing of his exercise created substantial paper gains, as those same shares carried a market value of roughly ¥15.6 billion at Metaplanet’s then-current share price of ¥244, producing an unrealized spread of nearly ¥15 billion.

The transaction increased Gerovich’s direct shareholdings from 15.56 million to nearly 79.6 million shares.

Shares issued through the plan became subject to a five-year lockup beginning August 2026, restricting sales or transfers until August 2031, though the economic dilution to existing shareholders occurred immediately upon issuance. The restriction on share sales does not affect voting rights or dividend entitlements, allowing Gerovich to benefit from share appreciation and shareholder distributions during the lockup period. As of June 30, Gerovich held 276,000 of the 459,000 outstanding Series 10 rights, leaving him with approximately 184,000 rights remaining after his August exercise, with additional portions scheduled to vest through 2028. Other executives and employees hold the remainder of the rights pool.

The 273 Million Share Question and Bitcoin-Per-Share Metrics

Shareholders have coalesced around a central demand: the outright cancellation of roughly 273 million potential shares that were generated above the original 46 million authorization during the expansion period. The dilution dispute carries particular weight because Metaplanet’s investment thesis depends heavily on Bitcoin per fully diluted share, a key metric for investors evaluating the company’s treasury performance and comparing it to competitors pursuing similar digital asset strategies. As of June 30, 2026, Metaplanet’s 43,000 BTC divided by 1.63 billion fully diluted shares produced a ratio of approximately 2,635 satoshis per share, a denominator inflated by the contested Series 10 awards.

Removing the contested 273 million shares from the calculation would raise Bitcoin per share to roughly 3,166 satoshis, approximately 20% higher than current figures. This potential improvement demonstrates why the dispute resonates with long-term shareholders focused on per-share value accumulation. Shareholder Ragnar has led the public push for cancellation, noting that Metaplanet itself acknowledged the mechanism’s harmful effects. He has argued on X that the only viable resolution is a full rollback of the excess shares paired with a replacement incentive program retroactively applied to eliminate compensation benefits accumulated under the abandoned formula. Ragnar has also highlighted that the company’s international offering generated another 96.25 million potential shares through the same adjustment clause, extending the scope of shareholder concerns beyond domestic capital raises.

The replacement compensation Metaplanet proposes carries no performance conditions tied to Bitcoin-per-share growth or other shareholder value metrics.

Metaplanet’s Limited Response and Unresolved Governance Tensions

Metaplanet has announced a partial approach to managing the controversy without addressing the central shareholder demand. The company has frozen the Series 10 expansion mechanism as of August 18, capping future dilution from capital raises, yet management has not committed to rolling back or cancelling the 273 million shares already created. The frozen mechanism approach appeals to management because it acknowledges shareholder concerns while preserving executive compensation already awarded or vested.

Instead, Metaplanet has proposed redirecting up to 90,000 remaining Series 10 rights representing 62.64 million potential shares into a new long-term incentive vehicle that could incorporate performance and service conditions without exceeding the existing compensation ceiling. CEO Gerovich has acknowledged shortcomings in the company’s governance communication and stated that Metaplanet continues reviewing its compensation structure and disclosure practices. Beyond the options dispute, investors have pressed for greater transparency regarding MMXX Ventures, a recurring Metaplanet shareholder and former lender that continues to maintain economic relationships with the company.

Gerovich has disclosed that he is a “significant but non-majority shareholder” of MMXX’s parent company and does not participate in the entity’s investment decisions, yet investors continue seeking fuller details about ownership structures and Gerovich’s broader economic exposure to MMXX transactions involving Metaplanet. Such conflicts of interest concerns are particularly acute when company leadership has the power to authorize capital raises that benefit related parties or when related-party transactions involve substantial sums.

Metaplanet has not stated whether it will formally cancel the contested 273 million potential shares or hold them at their expanded level, leaving the company’s most contentious governance issue unresolved heading into what investors expect to be further shareholder engagement on compensation reform and MMXX’s role in Metaplanet’s capital structure.

A mid-tier Bitcoin treasury risked its complete BTC holdings on a single 30-day reset price

A mid-tier Bitcoin treasury risked its complete BTC holdings on a single 30-day reset price

, , , , , , ,

PowerCompute has restructured its Bitcoin collateral arrangement with Arch Lending, consolidating an early collar reset into higher principal and increased interest costs on a 307 BTC reserve. The move concentrates the company’s repayment obligation into a single 30-day price test, creating material downside protection but eliminating upside participation unless Bitcoin reaches $93,500 by September 24.

  • PowerCompute added $3.765 million to debt principal following an early collar reset on 307 BTC held as collateral.
  • The replacement 30-day collar with Arch Lending carries a $21.89 million balance and 6.5% annual interest rate, up from 2%.
  • The Sept. 24 reset will trigger excess appreciation only if Bitcoin’s reference price reaches $93,500, approximately 20% above current levels.
  • $3.765M Unwind cost added to principal instead of settled separately or in cash
  • 6.5% New annual interest rate, up from 2% on the prior collar structure
  • $93,500 Knock-in barrier setting the threshold for Sept. 24 excess appreciation calculation

PowerCompute, a Bitcoin treasury and mining company, terminated its existing collar arrangement with Arch Lending on August 25, 22 days into a scheduled 30-day period, and immediately entered a replacement facility. Rather than settling the unwind cost in cash or USDC, the company’s subsidiary, US Digital Mining and Hosting Co., elected to capitalize it as additional loan principal. The August 28 SEC filing shows the new collar balance at $21,892,131.88, compared to the prior facility’s $18,127,131.88, an increase driven both by the reset cost and the restructured terms.

The early termination and immediate rollover reflects a strategic adjustment to PowerCompute’s Bitcoin lending posture. Collars, a common financing tool in the digital asset space, allow companies to borrow against cryptocurrency holdings while managing volatility through structured price floors and ceilings. By resetting the collar early rather than allowing it to expire naturally, PowerCompute seized an opportunity to recalibrate its hedging parameters, though the decision carries immediate costs embedded in the new facility’s terms.

Principal Capitalization and Rising Interest Rate

The $3.765 million unwind cost was added to the loan balance in place of a separate excess-appreciation settlement for the terminated period. The prior collar, which began August 3 and was set to reset September 2, was terminated when Bitcoin’s reference price reached $78,500 on August 25, above the collar’s $66,370 ceiling at that time. By capitalizing the reset cost rather than paying it separately, PowerCompute increased its total debt obligation while deferring payment.

Capitalizing costs into principal is a common liquidity management technique but increases long-term interest burden. Over the life of a facility, even modest capitalization decisions compound significantly. In this case, the $3.765 million addition will accrue interest at the new 6.5% rate, pushing cumulative carrying costs higher than if the amount had been paid outright in cash or Bitcoin.

The interest rate environment shifted substantially in the new structure. The original arrangement carried a 2% annual rate; the replacement facility charges 6.5%, more than triple the prior cost. The full 30-day interest bill for the August 25 to September 24 period totals $118,582.38 under the contract’s 30/360 calculation. This elevated borrowing cost reflects both tighter credit conditions and the mechanics of rolling a collar mid-period rather than allowing it to reset on its original schedule.

Rising interest rates on Bitcoin lending facilities have become increasingly common as lenders have tightened risk management policies. The higher cost may also reflect counterparty-specific factors, including PowerCompute’s credit profile and the lender’s assessment of market conditions and volatility.

Conditional Settlement Triggered Only At $93,500

The new collar establishes a $71,112 floor and a $75,000 ceiling for the September 24 reference price test, with a $93,500 knock-in barrier. Arch Lending will test the reference price once, at 8:00 a.m. EST on September 24. Below the $93,500 barrier, the ceiling has no effect, allowing PowerCompute to retain all Bitcoin appreciation even if the price exceeds $75,000.

This knock-in structure is a relatively common collar design that provides meaningful downside protection while preserving upside optionality below the barrier level. For PowerCompute, the arrangement effectively removes price risk below the $71,112 floor while allowing the company to benefit from appreciation between the current price and $93,500. The trade-off is that any appreciation above $93,500 triggers a settlement obligation, forfeiting that excess gain.

Only if the reference price reaches or exceeds $93,500 does excess appreciation trigger. At the barrier exactly, the formula calculates: 307 BTC multiplied by ($93,500 ceiling minus $75,000 strike) equals $5,679,500. This figure represents a conditional settlement amount before interest, not a current liability. PowerCompute can settle it using retained Bitcoin or USD/USDC, or incorporate it into principal or the next collar quote if it rolls the loan. The barrier is not an intraday liquidation threshold; the contract bars ordinary margin calls and liquidations during the rolling period, testing the collar only at the scheduled reset or if PowerCompute opts for a voluntary mid-period exit.

The $93,500 barrier, set roughly 20% above Bitcoin’s price at the arrangement date, reflects market expectations and the lender’s risk appetite. Should Bitcoin’s price approach or exceed this level, the structure forces a decision point that could significantly affect PowerCompute’s capital structure and debt management strategy.

PowerCompute’s next decision point arrives September 24, when Arch tests the reference price at 8:00 a.m. EST. If Bitcoin trades below $93,500 at that moment, no excess appreciation will arise and the company retains flexibility to roll, refinance, or settle. If Bitcoin reaches $93,500 or higher, a settlement obligation of up to $5.68 million emerges, forcing PowerCompute to choose between deploying retained Bitcoin, paying in stablecoins, or incorporating the amount into future principal or ceiling terms. The outcome will provide insight into PowerCompute’s liquidity position and lender relations at a critical juncture in the volatile September-to-autumn market cycle.
