Strategy raises preferred repurchase authorization to $3.0 billion
Strategy’s board raised the ceiling on its digital credit securities repurchase program by $1.0 billion, after the company spent $193.1 million of cash last week buying back its STRC preferred stock. For holders of Strategy’s four preferred series and its common stock, the change shows how the company is splitting its cash between preferred buybacks, bitcoin and dividends.
- The repurchase cap rose from $2.0 billion to $3.0 billion, with $1.16 billion remaining on October 18.
- Strategy spent $193.1 million of USD Cash on STRC repurchases and $0.1 million on bitcoin from October 12 to 18.
- Watch Strategy’s next weekly update for STRC buyback size, bitcoin purchases and the USD Cash balance.
- $3.0B new repurchase cap, up from $2.0B previously
- $1.16B still available under the program on October 18
- $193.1M USD Cash spent on STRC buybacks, versus $0.1M on bitcoin
- $4.83B USD Reserve, against $45.5M paid in dividends last week
Strategy Inc disclosed the changes in a Form 8-K dated Monday, October 19, 2026. The report furnishes information under Item 7.01 (Regulation FD) and says that information is not “filed” for purposes of Section 18 of the Exchange Act. It covers the week from Monday, October 12 to Sunday, October 18.
Authorization rises to $3.0 billion with $1.16 billion left
The board approved the increase on October 19. The cap includes commissions, fees and expenses, and it counts repurchases already made under the program.
“increase in the aggregate purchase price authorized under its digital credit securities repurchase program from $2.0 billion to $3.0 billion”
Strategy Form 8-K, October 19, 2026
The arithmetic shows how much of the old cap was gone. With $1.16 billion available after the increase, the program had about $160 million left before it, so roughly $1.84 billion of the $3.0 billion has been used. That is our calculation from the filing’s figures, not a number Strategy states.
The filing also says $1.0 billion of purchase price remains under the separate MSTR Stock repurchase program. It gives no earlier figure for that program, so the filing offers no comparison.
Cash goes to preferred buybacks while stock sales fund bitcoin
Strategy separates two pools. The USD Reserve is “intended to support the payment of dividends on Strategy’s preferred stock and interest on its outstanding indebtedness,” while USD Cash is held for broader Bitcoin Treasury Company purposes. Last week the $193.1 million for STRC repurchases came from USD Cash, not the reserve.
Bitcoin buying was funded differently. The filing says purchases used $22.0 million of net proceeds from MSTR Stock sales under the at-the-market program plus $0.1 million of USD Cash, so about $22.1 million in all. STRC buybacks used roughly 1,900 times as much USD Cash as bitcoin purchases did.
The USD Reserve paid $45.5 million of preferred dividends in the week and stood at $4.83 billion on October 18. At that weekly rate the reserve would cover about 106 weeks, though the filing gives no forward dividend schedule. USD Cash was $447.3 million, so another buyback week of the same size would use a large share of it.
What the filing does not say
The text of the filing does not state the number of STRC shares repurchased, the prices paid, or the reason for favoring buybacks over bitcoin this week. It does not say whether the $1.0 billion increase is meant to be used at the recent pace or held as capacity.
It also does not say how USD Cash will be replenished. The one funding source named for bitcoin is MSTR Stock sales, and no sale of any security is tied to the buyback cash.
The BlockWest read. We read the larger cap as a commitment to treat preferred buybacks as a standing use of USD Cash, competing directly with bitcoin purchases. Last week the buyback took $193.1 million against $0.1 million for bitcoin from the same pool, while common stock sales paid for the coins. If that split persists, bitcoin accumulation depends on MSTR equity issuance, and the preferred buyback depends on a USD Cash balance of $447.3 million.
Strategy’s next weekly update, expected Monday, October 26 if the Monday pattern holds, will show whether STRC buybacks continue at last week’s pace against the $1.16 billion remaining, and how far USD Cash falls from $447.3 million.
